Terms of Use Agreement for Grant Writers and Grant Seekers

This Terms of Use Agreement ("Agreement") is a legal agreement between Grant Seekers ("User", “Users” or “Subscribers”), Grant Writers (“Writer”, or “Writers” and TheGrantPortal.com ("TGP”, “Promero, Inc, " "we," or "us"), governing your use of the www.thegrantportal.com website (the "Website") and any related services provided by TGP (collectively, the "Services").

By accessing or using the Website or Services, all parties agree to be bound by the terms and conditions of this Agreement. If any party does not agree with these terms, do not use the Website.

Eligibility
1.1. You must be at least 18 years old to use the Website and Services. By accessing or using the Website or Services, you represent and warrant that you are 18 years of age or older.

Services
2.1. Services: TGP provides an online platform (“Services”) that connects individuals or organizations (“Users”) seeking grant writing services with independent grant writers ("Writers") who advertise their grant writing services on the Website.
2.2. TGP does not provide grant writing services.
2.3. TGP is not responsible to act nor will it mediate between any User or Writer for any reason.
2.4. TGP does not guarantee the quality, accuracy, or reliability of the grant writing services provided by Writers. Users are responsible for assessing the qualifications, experience, and suitability of Writers for their specific needs.
2.5. TGP does not guarantee to the Writer the acquisition of a new User through advertising on the Service.
2.6. TGP does not guarantee to the Writer the quality of the Users ability to pay or any payments to Writers or the payments from Users that used the Website. TGP shall be held harmless for any monetary loss by any party.
2.7. TGP does not guarantee that a User will find a suitable Writer or a Writer to provide grant writing services.

User Responsibilities
3.1. Users agree to provide accurate, current, and complete information when creating an account and using the Website and Services.
3.2. Users are solely responsible for their interactions with other Users and Writers. TGP is not responsible for any disputes, damages, or liabilities arising from such interactions.
3.3. Users agree not to use the Website or Services for any illegal, harmful, or unauthorized purposes. Users shall comply with all applicable laws and regulations while using the Website and Services.
3.4 Users should respond to Writer’s communication in a timely manner, preferably within 24 hours.
3.5 User agrees to notify TGP immediately of any unauthorized use of their account or any other breach of security.
3.6 If TGP receives complaints from Writers about any communication or inappropriate action by a User, TGP reserve the right to remove the User, at TGP’s sole discretion, from our platform without warning or notice. Refunds paid by the Writer to TGP will not be made.

Writer Responsibilities
4.1. Writers are required to create an account to access all features of the Website and Services.
4.2. Writers are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
4.3. Writer agrees to notify TGP immediately of any unauthorized use of their account or any other breach of security.
4.4. If TGP receives complaints from any User about a Writer, TGP reserves the right to remove the Writer advertisement from our platform without warning or notice. Refunds will not be made. Auto renew will be canceled.
4.5. Writer must fully complete their profile on TGP, digitally sign the contract that acknowledges their responsibilities and TGP Terms of Services, policies and pay the advertising fee before their profile can be posted on the website. Incomplete profiles will not be published.
4.6. TGP reserves the right not to publish the Writer’s profile if TGP deems the Writer’s content to be offensive or inappropriate for any reason in TGP’s sole discretion. If the Writer wishes to change profile information once the listing is published, TGP reserves the right not to publish the Writer’s profile if TGP deems the content to be offensive or inappropriate for any reason in TGP’s sole discretion. If the Writer wishes to cancel the Service for any reason, the paid fees are not refundable.
4.7. TGP shall remain harmless to any problems with Users and hereby advises Writers that before they work with a User, they should do their due diligence. Writers should review and verify the organization’s eligibility, qualifications, experience, website, and portfolio. Speak with their board members and review their 990s.
4.8. Writers may not claim to be an employee of TGP whether in person or online.
4.9 Writers should respond to grant-seeker inquiries in a timely manner, preferably within 24 hours.


Pricing Changes and Refunds
5.1. The Writer’s advertising fee and the User’s subscription fee will automatically renew and continue to charge on a recurring basis until the Writer cancels or User cancels it respective automatic recurring payment within their TGP account, or if their profile is suspended or discontinued by TGP.
5.2. Writer and User can cancel the automatic payments in their account prior to their next auto renewal date.
5.3. If there is a price increase, as long as the Writer remains current and on automatic renewal, they will not be affected by any advertising price change, until they cancel their automatic renewal and start a new payment.
5.4 TGP is not obligated to notify Writers or Users of future pricing changes. The User will see the updated pricing on the website when they start a new payment.
5.5 There are no refunds provided or made for advertising fees paid by the Writer and subscription fees paid by the User for any reason.

Intellectual Property Rights
6.1. TGP retains all rights, title, and interest in and to the Website, Services, and all related intellectual property.
6.2. Users and Writers agree not to reproduce, modify, distribute, display, or create derivative works of any part of the Website or Services without the prior written consent of TGP.
6.3. In the relationship with TGP, Writers and User will be privy to Confidential Information that they agree that they will keep information or material that is commercially valuable to TGP and not generally known in the industry, confidential.

Termination
7.1. TGP reserves the right to suspend, terminate, or modify the Website or Services at any time without prior notice.
7.2. Users and Writers may terminate their account at any time by following the instructions on the Website or requesting termination by emailing tech@promero.com. Termination of the account will result in the removal of the Writer’s profile and related information from the Website.

Disclaimers and Limitation of Liability
8.1. TGP does not endorse, guarantee, or make any representations regarding the quality, accuracy, or reliability of any content or services provided by Users.
8.2. Users acknowledge that their use of the Website and Services is at their own risk. The Website and Services are provided on an "as-is" and "as available" basis without any warranties of any kind.
8.3. In no event shall TGP be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to the use of or lack of use of the Website or Services.
8.4. TGP shall be held harmless to any potential liability arising from a Writer’s work and for any lack of payment from a User.

Governing Law and Jurisdiction
9.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, U.S.A.
9.2. Any legal action or proceeding arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Broward County, Florida, U.S.A.

Miscellaneous
10.1. This Agreement constitutes the entire agreement between the Writer, User and TGP regarding the use of the Website and Services.
10.2. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
10.3. The failure of TGP to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

By using the TGP Website and Services, the Writer and the User acknowledge that you have read, understood, and agreed to be bound by this Terms of Use Agreement.

The Grant Portal has no partnership, affiliation, or endorsement with the grant writers or grant-seekers using the website. Grant writers pay a fee to be listed. Grant-seekers pay a fee to access Grant writer’s profiles. Grant writers and grant seekers are solely responsible for verifying grant writers' and grant-seeker's claims, credentials, ability to pay for and authority to enter into any service agreement.
